That it is hereby agreed by and between the parties that the client will always order Minimum Order Quantity (M.O.Q) to Studiomoda India in respect of a quantity which should not less than mentioned Meters/units.
That it is hereby agreed by and between the parties that the price of the quantity ordered by client has bilaterally been fixed as discussed amount per meter and totaling to the tune of the discussed amount.
That it is hereby agreed by and between the parties that the mode of payment, to be used in the financial transaction between the parties, would be either through cheque or demand draft or pay order or account transfer.
That it is hereby agreed by and between the parties that the total price(100%price) of the fabric items and / or finished products to be delivered to the client, shall be paid in advance to Studiomoda India by the client in case of an overall new transaction and in the event and/or circumstances, where the party to the Second Part has been engaged in business with the party to the First Part in the several occasions earlier then 50% of the total price of the fabric items and / or finished products to be delivered to the client, shall be paid in advance to Studiomoda India and the rest 50% of the said total price of the fabric item and / or finished products shall be paid by the client to Studiomoda India at the time of receiving of the total quantity of the fabric items and / or finished products as per order made by the client to Studiomoda India. That it is hereby agreed by and between the parties that the total smooth, effective and efficient logistic operation shall be the sole responsibility of Studiomoda India in respect of the total transactions of the instant agreement and in this regard at the time of receiving order from the client,Studiomoda India shall ensure the client that the company will provide an effective and efficient logistic service to the client and at the same time the client will make the payment to the client for the whole transaction in accordance with and/or in view of the terms and conditions set forth in the clause No. 4as enunciated hereinabove agreed and executed by and between the parties to the instant agreement.
That it is hereby agreed by and between the parties that in the event where Studiomoda India will be required by the client to provide necessary sample for the purpose of selection of fabric items and / or finished products in that case the M.O.Q to be ordered by the client shall not be a quantity less than the discussed amount and if after analyzing from four corners the client agrees to proceed further then the sampling will be free of cost and the price amount to be paid by the client to the company shall be deducted from the Total Bill Amount (T.B.A) and/or the Final Order Value (F.O.V) to be placed by the company to the client at the time of making the total payment in accordance with and in view of the clause No. 3 of the instant agreement; otherwise the client has to bear the total sampling cost.
That it is hereby agreed by and between the parties that after making the payment of F.O.V (Final Order Value) Studiomoda India shall not be held responsible for any frivolous and concocted allegation may be raised by the party to the Second Part in respect of quality and quantity of the fabric items and / or finished products.
That it is hereby agreed by and between the parties that the instant agreement keeps open the provision of conciliation in case of any disputes and/or anomalies arisen with the efflux of time for the interest of both the parties and if any dispute and / or anomaly or tag-of-war prevailing between the parties does not come to an end even through conciliation, as depicted hereinabove, the further necessary legal proceeding shall be instituted within the all sorts of jurisdiction of the registered office of Studiomoda India.
That it is hereby agreed by and between the parties that any error relating to language or literature or grammar is unintentional and those shall be considered in the light of its correct meaning and with the true spirit of legal explanation(s).
